Security for investors ?
I want to offer a sort of convertable debenture but do not want to buy a public shell, (cost and time).
What is the best way of covering them against commercial risk.
The market risk is neglageble and obviously there in any venture but i need sompething secure.
Maybe an escrow of some sort., if so how do obtain one.

I do not believe that you have to purchase a public shell. Just file papers of incorporation. That will protect you and your investors. The state in which you reside will have specific rules governing that.
You really need to talk to a lawyer that specializes in such activities.
