laws vary state to state but in the long run in most states when you buy a business you take on the responsibility of that business. they should honer that certificate,if they refuse the get in touch with the bbb
Go to the restaurant with gift certificate and ask to speak with the manager. Explain your situation and ask if they will will honor it.

They are not obligated to but most will.
In theory, they should, and should have to. The gift certificate represents a liability on the part of the business to provide goods or services upon delivery. The fact that the ownership transferred does not negate that fact; the liability would simply transfer to the new owner.
I would talk to the manager, or new owner, and try to work something out. From there, the BBB would be next resource.
Fromi what I remember, California has some of the best consumer protection laws as it relates to gift certificates, so good luck
